Meet your course instructor

Richard Baumfield, Adjunct Assistant Professor, Faculty of Law, Bond University 

Richard is an Adjunct Assistant Professor teaching in the areas of Corporate Law and Business Law.   Richard has a Bachelor of Business, Bachelor of Laws and a Master of Laws.

Richard specialised in the area of Corporate Restructuring for many years in the United States of America. He was a partner in the law firm of Andrews & Kurth LLP (New York City) where he represented hedge funds, high net worth individuals, debtors, creditors committees and ad hoc committees.  Some of his more notable matters include representing Enron in its chapter 11 bankruptcy, representing the creditors committee and Liquidating Trust in the Mirant Energy chapter 11, representing the Bondholders Committee in the Leap Wireless chapter 11 and representing the Creditors Committee and the Liquidating Trust in the Power Company of America chapter 11 case. 

Upon returning to Australia, Richard was appointed to numerous management and board positions including CEO and director of IPrimus Pty Ltd (Australia’s fourth largest telecom company at the time), director and chairperson of ASX listed company Intrepid Mines Ltd, non-executive director of ASX listed company AIC Mining Ltd, non-executive director of ABCorp Pty Ltd (largest secured printing company in Australia) and founder and director of alternative energy company Solar Connection Pty Ltd.

In addition, Richard periodically advises investment funds (both domestic and international) on strategic and alternate investments.

  • This flexible course is designed to fit seamlessly into your busy schedule. There are six online modules, plus a case study that is the focus of the Major Assessment Task. All components can be completed at anytime via our high-quality learner platform.

    SYLLABUS

    Case Study: Familiarise yourself with the case study that will be referred to in the six modules and will be the focus of the final assessment task.

    Module 1 - The Board in Operation: Examine foundational concepts in enterprise governance, including the roles and responsibilities of the board.

    Module 2 - Duties and Responsibilities of the Board: Explore the legal duties and obligations of the directors and officers of enterprises.

    Module 3 - Regulation and Compliance: Understand the regulation of enterprises and the role of the board in ensuring compliance

    Module 4 - Strategy and Risk: Understand how boards work with management to satisfy their obligation to shareholders and stakeholders, and evaluate and apply the tools and techniques used to manage risk.

    Module 5 - Finance: Develop your financial literacy as a director of an enterprise

    Module 6 - Contemporary Issues in Enterprise Governance: Learn from the experts about ethical culture, board diversity, sustainability, digital transformation and cyber security, and Chair and CEO performance.

    ASSESSMENT 

    Assessments include six online tests and a Major Assessment Task. Each test consists of a series of multiple-choice questions that assess your understanding of the content of the relevant module. The Major Assessment Task is a written paper where you will identify and analyse various enterprise governance issues from a case study. 

    COURSE DURATION

    You will have access for one year from the date of registration. This allows you to work through the six modules and assessments at your own pace. The Major Assessment Task must be submitted within the one-year access period.
     

  • The Credential in Enterprise Governance and Advanced Credential in Enterprise Governance have been designed to equip current and aspirational board members, managers and enterprise leaders  with the knowledge and skills to create and implement effective enterprise governance strategies and optimise enterprise performance. 
     
    Learners should have familiarity with governance and board work in either for-profit, not-for-profit or government enterprises.

    Learners seeking entry into the Master of Laws in Enterprise Governance program must also have successfully completed a recognised Bachelor of Laws (LLB) or Juris Doctor (JD) degree (or equivalent qualification) OR have successfully completed a recognised Bachelor degree in any field and have a minimum of five years workplace experience including two years in a leadership role.

     

  • Upon completion of the course, you will be able to:

    • Identify and critically analyse how Directors must meet legal, compliance and regulatory requirements in the context of the ethical, social and environmental constraints on enterprises.
    • Demonstrate adaptive judgment to successfully develop individual governance positions and apply those positions to boardroom scenarios.
    • Identify and apply enterprise governance theories, skills, and strategies to explore complex boardroom issues and solve challenging enterprise governance problems.

    RECOGNITION

    To be awarded the Advanced Credential in Enterprise Governance, you must complete and pass all assessments. Upon completion, you will receive a digital certificate and be eligible to apply for Recognition of Prior Learning towards the Bond University Master of Laws (LLM) in Enterprise Governance equivalent to the subject, LAWS77-540: Foundations of Enterprise Governance (10CP).

    If you complete and pass all six tests but do not do the Major Assessment Task, you will be recognised with a digital Certificate of Completion for the Credential in Enterprise Governance. You will not be eligible for academic credit.

Meet your course director

Professor Nick James

Professor Nick James is the Executive Dean of the Faculty of Law at Bond University. He is a former commercial lawyer and has been practising as an academic since 1996. He is passionate about legal education and the role of law schools in modern society. His areas of teaching expertise include: law in context, legal theory, animal law, business law, and company law. He has won numerous awards for his teaching including a National Citation for Outstanding Contribution to Student Learning, and he is the author of three textbooks: Business Law, Critical Legal Thinking and The New Lawyer (with Rachael Field and Jackson Walkden-Brown).
